The share of voting rights of BlackRock Luxembourg HoldCo S.à r.l.,
Senningerberg, Luxembourg, in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 13 December 2013
and, on this date, amounted to 3.02% of the total number of voting rights
(6,607,835 voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media AG.

This share of voting rights was attributed to BlackRock Luxembourg HoldCo
S.à r.l. pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities
Trading Act (WpHG) in connection with § 22 para. 1 sent. 2 of the German
Securities Trading Act (WpHG).
