The following entities have notified ProSiebenSat.1 Media AG on 24 January
2014 by notifications pursuant to §§ 21 para. 1, 22 of the German
Securities Trading Act (WpHG) as follows:

1. Ameriprise Financial, Inc.

The share of voting rights of Ameriprise Financial, Inc., Minneapolis, USA,
in ProSiebenSat.1 Media AG, Medienallee 7, 85774 Unterföhring, Germany,
exceeded the threshold of 3% on 21 January 2014 and, on this date, amounted
to 3.66% of the total number of voting rights (8,018,669 voting rights of a
total number of 218,797,200 voting rights) in ProSiebenSat.1 Media AG.

This share of voting rights was attributed to Ameriprise Financial, Inc.
pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities Trading Act
(WpHG) in connection with § 22 para. 1 sent. 2 of the German Securities
Trading Act (WpHG). A portion of this share of voting rights amounting to
0.01% of the total number of voting rights (31,725 voting rights) was
attributed to Ameriprise Financial, Inc. also pursuant to § 22 para. 1
sent. 1 no. 1 of the German Securities Trading Act (WpHG).

1. Threadneedle Asset Management Holdings SARL

The share of voting rights of Threadneedle Asset Management Holdings SARL,
Luxembourg, Luxembourg, in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 21 January 2014 and,
on this date, amounted to 3.57% of the total number of voting rights
(7,812,091 voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media AG.

This share of voting rights was attributed to Threadneedle Asset Management
Holdings SARL pursuant to § 22 para. 1 sent. 1 no. 6 of the German
Securities Trading Act (WpHG) in connection with § 22 para. 1 sent. 2 of
the German Securities Trading Act (WpHG). A portion of this share of voting
rights amounting to 0.01% of the total number of voting rights (31,725
voting rights) was attributed to Threadneedle Asset Management Holdings
SARL also pursuant to § 22 para. 1 sent. 1 no. 1 of the German Securities
Trading Act (WpHG).

1. Threadneedle Asset Management Holdings Limited

The share of voting rights of Threadneedle Asset Management Holdings
Limited, London, United Kingdom, in ProSiebenSat.1 Media AG, Medienallee 7,
85774 Unterföhring, Germany, exceeded the threshold of 3% on 21 January
2014 and, on this date, amounted to 3.50% of the total number of voting
rights (7,655,556 voting rights of a total number of 218,797,200 voting
rights) in ProSiebenSat.1 Media AG.

This share of voting rights was attributed to Threadneedle Asset Management
Holdings Limited pursuant to § 22 para. 1 sent. 1 no. 6 of the German
Securities Trading Act (WpHG) in connection with § 22 para. 1 sent. 2 of
the German Securities Trading Act (WpHG). A portion of this share of voting
rights amounting to 0.01% of the total number of voting rights (31,725
voting rights) was attributed to Threadneedle Asset Management Holdings
Limited also pursuant to § 22 para. 1 sent. 1 no. 1 of the German
Securities Trading Act (WpHG).

The share of voting rights of Threadneedle Asset Management Limited,
London, United Kingdom, in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 21 January 2014 and,
on this date, amounted to 3.40% of the total number of voting rights
(7,444,419 voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media AG.

This share of voting rights was attributed to Threadneedle Asset Management
Limited pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities
