On April 16, 2014, the voting interest held by BlackRock Holdco 2, Inc.,
Wilmington, DE, USA, in GEA Group Aktiengesellschaft, Düsseldorf, Germany,
exceeded the threshold of 5% and amounted to 5.001% (9,626,281 voting
rights) on that day.

All of the voting rights are attributable to BlackRock Holdco 2, Inc.
pursuant to sec. 22 para. 1 sent. 1 no. 6 WpHG in connection with sent. 2
WpHG.

1. On April 17, 2014, BlackRock Financial Management, Inc., New York, NY,
   USA informed us pursuant to sec. 21 para. 1 WpHG as follows:

On April 16, 2014 the voting interest held by BlackRock Financial
Management, Inc., New York, NY, USA, in GEA Group Aktiengesellschaft,
Düsseldorf, Germany, exceeded the threshold of 5% and amounted to 5.001%
(9,626,281 voting rights) on that day.
