On May 23, 2014, Commerzbank Aktiengesellschaft, Frankfurt am Main,
Germany, informed us according to Article 21, Section 1 of the WpHG that
via shares its voting rights in SAP AG, Walldorf, Germany, exceeded the 3%
threshold of the voting rights on May 19, 2014, and on that day amounted to
4.13% (this corresponds to 50,755,791 voting rights).

Of these voting rights, 0.10% (this corresponds to 1,170,258 voting rights)
are to be attributed to Commerzbank Aktiengesellschaft according to Article
22, Section 1, Sentence 1, No. 6 of the WpHG.

Of these voting rights 0.0004% (this corresponds to 5,031 voting rights)
are to be attributed to Commerzbank Aktiengesellschaft according to Article
22, Section 1, Sentence 1, No. 6 in connection with Article 22, Section 1,
Sentence 2 of the WpHG.
