distribution

The following entities have notified ProSiebenSat.1 Media AG on 30 May 2014
by notifications pursuant to §§ 21 para. 1, 22 of the German Securities
Trading Act (WpHG) as follows:

1. Threadneedle Asset Management UK Limited

The share of voting rights of Threadneedle Asset Management UK Limited,
London, United Kingdom, in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 21 January 2014 and,
on this date, amounted to 3.50% of the total number of voting rights
(7,655,556 voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media AG.

This share of voting rights was attributed to Threadneedle Asset Management
UK Limited pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities
Trading Act (WpHG) in connection with § 22 para. 1 sent. 2 of the German
Securities Trading Act (WpHG). A portion of this share of voting rights
amounting to 0.01% of the total number of voting rights (31,725 voting
rights) was attributed to Threadneedle Asset Management UK Limited also
pursuant to § 22 para. 1 sent. 1 no. 1 of the German Securities Trading Act
(WpHG).

1. TAM UK Holdings Limited

The share of voting rights of TAM UK Holdings Limited, London, United
Kingdom, in ProSiebenSat.1 Media AG, Medienallee 7, 85774 Unterföhring,
Germany, exceeded the threshold of 3% on 21 January 2014 and, on this date,
amounted to 3.50% of the total number of voting rights (7,655,556 voting
rights of a total number of 218,797,200 voting rights) in ProSiebenSat.1
Media AG.

This share of voting rights was attributed to TAM UK Holdings Limited
pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities Trading Act
(WpHG) in connection with § 22 para. 1 sent. 2 of the German Securities
Trading Act (WpHG). A portion of this share of voting rights amounting to
0.01% of the total number of voting rights (31,725 voting rights) was
attributed to TAM UK Holdings Limited also pursuant to § 22 para. 1 sent. 1
no. 1 of the German Securities Trading Act (WpHG).
