On June 25, 2014, the voting interest held by BlackRock Holdco 2, Inc.,
Wilmington, DE, USA, in GEA Group Aktiengesellschaft, Düsseldorf, Germany,
fell below the threshold of 5% and amounted to 4.99% (9,597,959 voting
rights) on that day.

All of the voting rights are attributable to BlackRock Holdco 2, Inc.
pursuant to sec. 22 para. 1 sent. 1 no. 6 WpHG in connection with sent. 2
WpHG.

1. On June 27, 2014, BlackRock Financial Management, Inc., New York, NY,
   USA informed us pursuant to sec. 21 para. 1 WpHG as follows:
