Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them
Darktrace plc announces that four Persons Discharging Managerial Responsibilities ("PDMR") have received the number of shares of Darktrace as set out below, following the vesting of awards previously granted under the Darktrace Award Incentive Plan on 6 May 2021 and 19 July 2023 (the "AIP Awards") on 19 July 2024. The number of shares transferred to three of the four PDMRs was on a sell to cover basis and one PDMR had shares transferred on a hold all basis.
· Poppy Gustafsson, CEO, acquired 475,000 shares following the vesting of her AIP Awards. She sold 223,724 shares through a sell to cover tax instruction and retained the remaining 251,276 shares.
· Catherine Graham, CFO, acquired 300,000 shares following the vesting of her AIP Awards. She sold 141,309 shares through a sell to cover tax instruction and retained the remaining 158,691 shares.
· Jack Stockdale, CTO, acquired 110,189 shares following the vesting of his AIP Awards. He sold 51,927 shares through a sell to cover tax instruction and retained the remaining 58,262 shares.
· Nicole Eagan, Chief Strategy Officer, AI Officer acquired 109,613 shares following the vesting of her AIP Awards.
