On November 3, 2014, Gebr. Schmidt Verwaltungsgesellschaft mbH, Essen,
Germany, informed us according to sec. 21 et seq. of the WpHG that its
share of voting rights in METRO AG, Dusseldorf, Germany, fell below the
thresholds of 30%, 25% and 20% on November 1, 2014, and on that day amounts
to 15.77% of the voting rights (51,117,363 voting rights).

Thereof, 2.60% of the voting rights (8,426,849 voting rights) are
attributed to Gebr. Schmidt Verwaltungsgesellschaft mbH according to sec.
22 para. 1 sentence 1 no. 1 of the WpHG, further 13.17% of the voting
rights (42,690,514 voting rights) are attributed to it according to sec. 22
para. 1 sentence 1 no. 2 in connection with sentence 2 of the WpHG.

Voting rights of the following shareholders, whose attributed share of
voting rights in METRO AG in each case amounts to 3% or more, are
attributed to Gebr. Schmidt Verwaltungsgesellschaft mbH:

• METRO Vermögensverwaltung GmbH & Co. KG;
• 1. HSB Beteiligungsverwaltung GmbH & Co. KG.
