Publication of notifications pursuant to § 26 para. 1 sentence 1 of the
German Securities Trading Act (WpHG) with the objective of Europe-wide
distribution

The following entities have notified ProSiebenSat.1 Media AG on 13 November
2014 by notification pursuant to §§ 21 para. 1, 22 of the German Securities
Trading Act (WpHG) as follows:

1. BlackRock International Holdings, Inc.

The share of voting rights of BlackRock International Holdings, Inc., New
York, NY, U.S.A., in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, fell below the threshold of 3% on 11 November 2014
and, on this date, amounted to 2.95% of the total number of voting rights
(this corresponds to 6,450,664 voting rights of a total number of
218,797,200 voting rights (the 'Total Voting Rights')) in ProSiebenSat.1
Media AG.

1.22% of the Total Voting Rights (this corresponds to 2,667,877 voting
rights) are to be attributed to BlackRock International Holdings, Inc.
pursuant to § 22 para. 1 sentence 1 No. 1 WpHG.

1.99% of the Total Voting Rights (this corresponds to 4,351,854 voting
rights) are to be attributed to BlackRock International Holdings, Inc.
pursuant to § 22 para. 1 sentence 1 No. 6 in connection with sentence 2
WpHG.

Please note that the total amount stated above does not necessarily equal
the sum of the detailed attributed holdings. This results from voting
rights having multiple attributions within the BlackRock group structure.

1. BR Jersey International Holdings L.P.

The share of voting rights of BR Jersey International Holdings L.P., St.
Helier, Jersey, Channel Islands, in ProSiebenSat.1 Media AG, Medienallee 7,
85774 Unterföhring, Germany, fell below the threshold of 3% on 11 November
2014 and, on this date, amounted to 2.95% of the total number of voting
rights (this corresponds to 6,450,664 voting rights of a total number of
218,797,200 voting rights (the 'Total Voting Rights')) in ProSiebenSat.1
Media AG.

1.22% of the Total Voting Rights (this corresponds to 2,667,877 voting
rights) are to be attributed to BR Jersey International Holdings L.P.
pursuant to § 22 para. 1 sentence 1 No. 1 WpHG.

NY, U.S.A., in ProSiebenSat.1 Media AG, Medienallee 7, 85774 Unterföhring,
Germany, fell below the threshold of 3% on 11 November 2014 and, on this
date, amounted to 2.95% of the total number of voting rights (this
corresponds to 6,450,664 voting rights of a total number of 218,797,200
voting rights (the 'Total Voting Rights')) in ProSiebenSat.1 Media AG.

Germany, fell below the threshold of 3% on 11 November 2014 and, on this
date, amounted to 2.74% of the total number of voting rights (this
corresponds to 5,997,819 voting rights of a total number of 218,797,200
voting rights (the 'Total Voting Rights')) in ProSiebenSat.1 Media AG.

1.16% of the Total Voting Rights (this corresponds to 2,539,883 voting
rights) are to be attributed to BlackRock Group Limited pursuant to § 22
para. 1 sentence 1 No. 1 WpHG.

1.84% of the Total Voting Rights (this corresponds to 4,027,003 voting
rights) are to be attributed to BlackRock Group Limited pursuant to § 22
para. 1 sentence 1 No. 6 in connection with sentence 2 WpHG.
