The following entities have notified ProSiebenSat.1 Media AG on 18 February
2015 by notifications pursuant to §§ 21 para. 1, 22 of the German
Securities Trading Act (WpHG) as follows:

1. Threadneedle Asset Management Holdings SARL

The share of voting rights of Threadneedle Asset Management Holdings SARL,
Luxembourg, Luxembourg, in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, fell below the threshold of 3% on 13 February 2015
and, on this date, amounted to 2.9998 % of the total number of voting
rights (6,563,571 voting rights of a total number of 218,797,200 voting
rights) in ProSiebenSat.1 Media AG.

This share of voting rights was attributed to Threadneedle Asset Management
Holdings SARL pursuant to § 22 para. 1 sent. 1 no. 6 of the German
Securities Trading Act (WpHG) in connection with § 22 para. 1 sent. 2 of
the German Securities Trading Act (WpHG). A portion of this share of voting
rights amounting to 0.01% of the total number of voting rights (30,729
voting rights) was attributed Threadneedle Asset Management Holdings SARL
also pursuant to § 22 para. 1 sent. 1 no. 1 of the German Securities
Trading Act (WpHG).

1. Threadneedle Holdings Limited

The share of voting rights of Threadneedle Holdings Limited (previously:
Threadneedle Asset Management UK Ltd), London, United Kingdom, in
ProSiebenSat.1 Media AG, Medienallee 7, 85774 Unterföhring, Germany, fell
below the threshold of 3% on 13 February 2015 and, on this date, amounted
to 2.9998 % of the total number of voting rights (6,563,571 voting rights
of a total number of 218,797,200 voting rights) in ProSiebenSat.1 Media AG.

This share of voting rights was attributed to Threadneedle Holdings Limited
pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities Trading Act
(WpHG) in connection with § 22 para. 1 sent. 2 of the German Securities
Trading Act (WpHG). A portion of this share of voting rights amounting to
0.01% of the total number of voting rights (30,729 voting rights) was
attributed to Threadneedle Holdings Limited also pursuant to § 22 para. 1
sent. 1 no. 1 of the German Securities Trading Act (WpHG).

1. TAM UK Holdings Limited

The share of voting rights of TAM UK Holdings Limited, London, United
Kingdom, in ProSiebenSat.1 Media AG, Medienallee 7, 85774 Unterföhring,
Germany, fell below the threshold of 3% on 13 February 2015 and, on this
date, amounted to 2.9998 % of the total number of voting rights (6,563,571
voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media AG.

This share of voting rights was attributed to TAM UK Holdings Limited
pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities Trading Act
(WpHG) in connection with § 22 para. 1 sent. 2 of the German Securities
Trading Act (WpHG). A portion of this share of voting rights amounting to
0.01% of the total number of voting rights (30,729 voting rights) was
attributed to TAM UK Holdings Limited also pursuant to § 22 para. 1 sent. 1
no. 1 of the German Securities Trading Act (WpHG).

The share of voting rights of Threadneedle Asset Management Holdings
Limited, London, United Kingdom, in ProSiebenSat.1 Media AG, Medienallee 7,
85774 Unterföhring, Germany, fell below the threshold of 3% on 13 February
2015 and, on this date, amounted to 2.9998 % of the total number of voting
rights (6,563,571 voting rights of a total number of 218,797,200 voting

Media AG, Medienallee 7, 85774 Unterföhring, Germany, fell below the
threshold of 3% on 13 February 2015 and, on this date, amounted to 2.99% of
the total number of voting rights (6,543,743 voting rights of a total
number of 218,797,200 voting rights) in ProSiebenSat.1 Media AG.

This share of voting rights was attributed to TC Financing Limited pursuant
to § 22 para. 1 sent. 1 no. 6 of the German Securities Trading Act (WpHG)
in connection with § 22 para. 1 sent. 2 of the German Securities Trading
Act (WpHG). A portion of this share of voting rights amounting to 0.01% of
the total number of voting rights (30,729 voting rights) was attributed to
TC Financing Limited also pursuant to § 22 para. 1 sent. 1 no. 1 of the
German Securities Trading Act (WpHG).
