KION GROUP AG: Notification pursuant to Section 26 (1) German Securities
Trading Act (Wertpapierhandelsgesetz, WpHG ) with the objective of
Europe-wide distribution
Notifications pursuant to Section 27a (1) WpHG
On March 5, 2015, ASF Walter Co-Invest GP Limited, George Town, Cayman
Islands, has informed KION GROUP AG, Abraham-Lincoln-Straße 21, 65189
Wiesbaden, Germany, with reference to its voting rights notifications
pursuant to Section 21 (1) and Section 22 (1), sentence 1, no. 1 and (2)
WpHG, dated February 17, 2015, concerning the exceeding of the voting
rights thresholds of 3%, 5%, 10%, 15%, 20%, 25%, 30% and 50% of the voting
rights in KION GROUP AG by ASF Walter Co-Invest GP Limited on February 13,
2015, pursuant to Section 27a (1) WpHG about the following:
a) The indirect participation in KION GROUP AG is a result of an
intra-group restructuring which, as such, is not aimed at realizing
strategic targets or at generating trading profits.
b) ASF Walter Co-Invest GP Limited has no intention of directly or
indirectly obtaining further voting rights in KION GROUP AG within the
next twelve months either through purchase or by any other means.
c) ASF Walter Co-Invest GP Limited has no intention of exerting any
influence on the appointment or removal of members of KION GROUP AG's
administrative, managing or supervisory bodies beyond the execution of
voting rights in a general meeting of KION GROUP AG through (indirect)
subsidiary companies of ASF Walter Co-Invest GP Limited.
d) ASF Walter Co-Invest GP Limited has no intention of altering the
capital structure of KION GROUP AG, in particular as regards the ratio
between own and external funds as well as the dividend policy.
The voting rights in KION GROUP AG are attributed to ASF Walter Co-Invest
GP Limited pursuant to Section 22 (1), sentence 1, no. 1, and (2) WpHG. ASF
Walter Co-Invest GP Limited's exceedance of the 3%, 5%, 10%, 15%, 20%, 25%,
30% and 50% thresholds of the voting rights in KION GROUP AG is a result of
an intra-group restructuring in the wake of which voting rights in KION
GROUP AG are attributed to ASF Walter Co-Invest GP Limited for the first
time. ASF Walter Co-Invest GP Limited did not acquire any voting rights in
KION GROUP AG directly. In the course of the intra-group restructuring, ASF
Walter Co-Invest II L.P., through which voting rights in KION GROUP AG are
indirectly attributed to ASF Walter Co-Invest GP Limited, employed own
funds to finance the (indirect) acquisition of the voting rights.
On March 5, 2015, ASF Walter Co-Invest II L.P., George Town, Cayman
Islands, has informed KION GROUP AG, Abraham-Lincoln-Straße 21, 65189
Wiesbaden, Germany, with reference to its voting rights notifications
pursuant to Section 21 (1) and Section 22 (1), sentence 1, no. 1 and (2)
WpHG, dated February 17, 2015, concerning the exceeding of the voting
rights thresholds of 3%, 5%, 10%, 15%, 20%, 25%, 30% and 50% of the voting
rights in KION GROUP AG by ASF Walter Co-Invest II L.P. on February 13,

GROUP AG are attributed to ASF Walter Co-Invest II L.P. for the first time.
ASF Walter Co-Invest II L.P. did not acquire any voting rights in KION
GROUP AG directly. In the course of the intra-group restructuring, ASF
Walter Co-Invest II L.P. employed own funds to finance the (indirect)
acquisition of the voting rights.
