MPC Capital AG completes takeover of Ahrenkiel Steamship
Hamburg, 26 March 2015 -- MPC Capital AG (ISIN DE000A1TNWJ4) has completed
the incorporation of the shipping company Ahrenkiel Steamship GmbH & Co. KG
("Ahrenkiel Steamship") and of Contchart Hamburg / Leer GmbH & Co. KG
("Contchart") as planned. As a consequence, the Management Board of MPC
Capital AG resolved today, with the approval of the Supervisory Board, to
carry out a non-cash capital increase from authorised capital, excluding
pre-emption rights. To this end, Thien & Heyenga Bereederungs- und
Befrachtungsges. m.b.H. and MPC Shipping Beteiligungsgesellschaft mbH & Co.
KG will contribute their shares in Ahrenkiel Steamship inlcuding Contchart
by way of a contribution in kind in return for the issuance of new shares
in MPC Capital AG.
A total of 4,518,655 new no-par-value bearer shares of MPC Capital AG will
be issued, each representing nominally EUR 1.00 of the share capital. The
share capital of MPC Capital AG will accordingly rise from EUR
17,610,739.00 to EUR 22,129,394.00. The number of shares will rise
correspondingly from 17,610,739 to 22,129,394. Upon completion of the
transaction, Thien & Heyenga Bereederungs- und Befrachtungsges. m.b.H. will
hold 11.5 percent and MPC Shipping Beteiligungsgesellschaft mbH & Co. KG
8.9 percent of MPC Capital AG.
Following entry of the non-cash capital increase in the Commercial
Register, the new shares are expected to be delivered and listed for the
first time from week 14 2015. Until the Annual General Meeting on 25 June
2015, the new shares will be listed under the separate ISIN DE000A14KPC9.
The capital increase is accompanied by ODDO SEYDLER BANK AG,
Frankfurt/Main.
In taking over Ahrenkiel Steamship and Contchart, MPC Capital AG extends
its value chain in the shipping sector and strengthens its position in the
maritime investments asset class. Meanwhile the shipping company acquires
access to the capital market through its incorporation into the MPC Capital
Group, enabling it to finance its further growth in a recovering market
environment.
