German Securities Trading Act (WpHG) with the objective of Europe-wide
distribution

The following entities have notified ProSiebenSat.1 Media AG on 28 April
2015 by notifications pursuant to §§ 21 para. 1, 22 of the German
Securities Trading Act (WpHG) as follows:

1. BlackRock International Holdings, Inc.

The share of voting rights of BlackRock International Holdings, Inc.,
Wilmington, DE, U.S.A., in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 24 April 2015 and,
on this date, amounted to 3.02% of the total number of voting rights (this
corresponds to 6,610,514 voting rights of a total number of 218,797,200
voting rights (the 'Total Voting Rights')) in ProSiebenSat.1 Media AG.

1.55% of the Total Voting Rights (this corresponds to 3,384,552 voting
rights) are to be attributed to BlackRock International Holdings, Inc.
pursuant to § 22 para. 1 sentence 1 No. 1 WpHG.

0.0001% of the Total Voting Rights (this corresponds to 124 voting rights)
are to be attributed to BlackRock International Holdings, Inc. pursuant to
§ 22 para. 1 sentence 1 No. 2 in connection with sentence 2 WpHG.

1.81% of the Total Voting Rights (this corresponds to 3,966,151 voting
rights) are to be attributed to BlackRock International Holdings, Inc.
pursuant to § 22 para. 1 sentence 1 No. 6 in connection with sentence 2
WpHG.

Please note that the total amount stated above does not necessarily equal
the sum of the detailed attributed holdings. This results from voting
rights having multiple attributions within the BlackRock group structure.

1. BR Jersey International Holdings L.P.

The share of voting rights of BR Jersey International Holdings L.P., St.
Helier, Jersey, Jersey, in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 24 April 2015 and,
on this date, amounted to 3.02% of the total number of voting rights (this
corresponds to 6,610,514 voting rights of a total number of 218,797,200
voting rights (the 'Total Voting Rights')) in ProSiebenSat.1 Media AG.

1.55% of the Total Voting Rights (this corresponds to 3,384,552 voting
rights) are to be attributed to BR Jersey International Holdings L.P.
pursuant to § 22 para. 1 sentence 1 No. 1 WpHG.

0.0001% of the Total Voting Rights (this corresponds to 124 voting rights)
are to be attributed to BR Jersey International Holdings L.P. pursuant to §
22 para. 1 sentence 1 No. 2 in connection with sentence 2 WpHG.
