CAPRICORN ENERGY PLC ("Capricorn" or "the Company")

Exercise of option and Total Voting Rights

Capricorn announces that, on 21 May 2024, an employee exercised an option over 75 ordinary shares of 735/143 pence in the Company ("Option Shares") at an exercise price of £1.868 per share. This exercise is intended to ensure that, as at the record time for the share consolidation that forms part of the "Return of Cash" that was announced on 17 April 2024, the issued share capital of the Company is exactly divisible by 79. 

Applications have been made to the FCA and the London Stock Exchange for the Option Shares to be admitted to the Official List and to trading on the London Stock Exchange's main market for listed securities (the "Admission").  It is expected that Admission will become effective on 23 May 2024.

Following the issue of the Option Shares, which on Admission will rank pari passu with the existing ordinary shares, the total number of ordinary shares in issue with voting rights will be 91,937,909.  The Company does not hold any shares in treasury.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
