German Securities Trading Act (WpHG) with the objective of Europe-wide
distribution

The following entity has notified ProSiebenSat.1 Media AG on 29 May 2015 by
notification pursuant to §§ 21 para. 1, 22 of the German Securities Trading
Act (WpHG) as follows:

BlackRock Group Limited

The share of voting rights of BlackRock Group Limited, London, England and
Wales, in ProSiebenSat.1 Media AG, Medienallee 7, 85774 Unterföhring,
Germany, exceeded the threshold of 3% on 27 May 2015 and, on this date,
amounted to 3.0004% of the total number of voting rights (this corresponds
to 6,564,799 voting rights of a total number of 218,797,200 voting rights
(the 'Total Voting Rights')) in ProSiebenSat.1 Media AG.

1.34% of the Total Voting Rights (this corresponds to 2,931,223 voting
rights) are to be attributed to BlackRock Group Limited pursuant to § 22
para. 1 sentence 1 No. 1 WpHG.

1.93% of the Total Voting Rights (this corresponds to 4,225,022 voting
rights) are to be attributed to BlackRock Group Limited pursuant to § 22
para. 1 sentence 1 No. 6 in connection with sentence 2 WpHG.

Please note that the total amount stated above does not necessarily equal
the sum of the detailed attributed holdings. This results from voting
rights having multiple attributions within the BlackRock group structure.
