adesso AG: significant corporate acquisition makes adesso a leader in IT
services in Switzerland

Dortmund, June 12, 2015 - adesso intends to form through the complete
takeover of Born Informatik AG and a rapid merger of both operations with
offices in Zurich and Bern, a leading IT services company with a total of
CHF 40 million turnover. The Born Informatik AG with its workforce of 124
employees generates sales of CHF 28 million with IT consulting and
customized software development especially for public and government
clients. Born therefore complements adesso activities in Switzerland both
regionally and technically in an excellent way. The 1986 established
company shows a normalized profit before tax of CHF 2.9 million (currently
approx EUR 2.8 million) with a pre-tax return of 11%. The supervisory board
of adesso AG has today approved the present purchase agreement. The closing
oft he transaction is aimed at short notice.

Born Informatik develops customized software solutions for a wide range of
applications. The company is very well established and one of the first
addresses for custom-developed applications and high-quality services in
German-speaking Switzerland. The broad technology range based on Java and
Microsoft .NET includes: planning, construction and maintenance of
applications, assignment of IT specialists in client projects on site,
support for architecture, technology and product issues and testing.
Numerous companies from the sectors of public administration, banking,
industry, telecommunications, logistics and insurance companies rely for
many years on the expertise of Born Informatik. Sellers of the company are
founder André Born and the COO, Daniel Urwyler, who will chair this
function even after the transaction for adesso in Switzerland. André Born
will be member of the adesso Switzerland supervisory board and will act as
an advisor regarding integration and further development.

adesso is entitled to Born Informatik profits back from 1.1.2015. The
purchase price is calculated according to 6.2 times pre-tax earnings and
will be paid in cash. Born Informatik is debt free. adesso will finance the
purchase price given the low interest rates and the strong balance sheet
structure of adesso completely externally with acquisition loans with
maturities of 5, 7 and 10 years in CHF and EUR, one half each installments
and bullet. Buyer is adesso Switzerland AG which will be quickly merged
with Born Informatik AG.
