Pursuant to Art. 21 (1) Sentence 1 and Art. 22 (1) WpHG, Noerr LLP, Munich,
Germany, informed Carl Zeiss Meditec AG, Jena, Germany, on 21 July 2015, on
behalf of its client, Massachusetts Mutual Life Insurance Company and its
subsidiaries, in accordance with Art. 21 (1) and 22 (1) WpHG on the
following changes in voting rights:

On 21 July 2015, the share of voting rights of Massachusetts Mutual Life
Insurance Company, Springfield, MA, United States of America, in Carl Zeiss
Meditec AG, Jena (ISIN DE0005313704, WKN: 531370) decreased below the
threshold of 3%. On 21 July 2015 the percentage of voting rights of
Massachusetts Mutual Life Insurance Company amounted to 0.00%
(corresponding to 0 shares of a total of 81,309,610 shares). There is no
attribution of voting rights pursuant to Art. 29a (3) WpHG and Art. 94 (4)
KAGB.

On 21 July 2015, the share of voting rights of MassMutual Holding LLC,
Springfield, MA, United States of America, in Carl Zeiss Meditec AG, Jena
(ISIN DE0005313704, WKN: 531370) decreased below the threshold of 3%. On 21
July 2015 the percentage of voting rights of MassMutual Holding LLC
amounted to 0.00% (corresponding to 0 shares of a total of 81,309,610
shares). There is no attribution of voting rights pursuant to Art. 29a (3)
WpHG and Art. 94 (4) KAGB.
