On July 27, 2015, BlackRock, Inc., with its registered office in
Wilmington, DE, U.S.A. has notified us pursuant to section 21 para. 1 WpHG
that their percentage of total voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, exceeded the
threshold of 5% on July 23, 2015 and amounted to 5.004% (equivalent to
27,196,503 voting rights out of a total of 543,478,807 voting rights) as
per this date.

2.05% of voting rights (equivalent to 11,133,705 voting rights) are
attributable to BlackRock, Inc., pursuant to section 22 para. 1 sent. 1 no.
1 WpHG.

3.32% of voting rights (equivalent to 18,037,855 voting rights) are
attributable to BlackRock, Inc., pursuant to section 22 para. 1 sent. 1 no.
