Wilmington, DE, U.S.A. has notified us pursuant to section 21 para. 1 WpHG
that their percentage of total voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, fell below the
threshold of 5% on July 30, 2015 and amounted to 4.99% (equivalent to
27,112,655 voting rights out of a total of 543,478,807 voting rights) as
per this date.

2.03% of voting rights (equivalent to 11,053,688 voting rights) are
attributable to BlackRock, Inc., pursuant to section 22 para. 1 sent. 1 no.
