On September 24, 2015, BlackRock, Inc., with its registered office in
Wilmington, DE, U.S.A. has notified us pursuant to section 21 para. 1 WpHG
that their percentage of total voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, exceeded the
threshold of 5% on September 22, 2015 and amounted to 5.09% (equivalent to
27,755,124 voting rights out of a total of 544,941,058 voting rights) as
per this date.
2.16% of voting rights (equivalent to 11,758,993 voting rights) are
attributable to BlackRock, Inc., pursuant to section 22 para. 1 sent. 1 no.
1 WpHG.
3.24% of voting rights (equivalent to 17,680,112 voting rights) are
attributable to BlackRock, Inc., pursuant to section 22 para. 1 sent. 1 no.
6 WpHG in connection with section 22 para. 1 sent. 2 WpHG.

the sum of the detailed attributed holdings. This results from voting
rights having multiple attributions within the BlackRock group structure.
On September 24, 2015, BlackRock Holdco 2, Inc., with its registered office
in Wilmington, DE, U.S.A. has notified us pursuant to section 21 para. 1
WpHG that their percentage of total voting rights in Fresenius SE & Co.
KGaA, Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, exceeded the
threshold of 5% on September 22, 2015 and amounted to 5.01% (equivalent to
27,327,089 voting rights out of a total of 544,941,058 voting rights) as
per this date.
2.16% of voting rights (equivalent to 11,758,993 voting rights) are
attributable to BlackRock Holdco 2, Inc., pursuant to section 22 para. 1
sent. 1 no. 1 WpHG.
3.17% of voting rights (equivalent to 17,252,077 voting rights) are
attributable to BlackRock Holdco 2, Inc., pursuant to section 22 para. 1
sent. 1 no. 6 WpHG in connection with section 22 para. 1 sent. 2 WpHG.

Germany, exceeded the threshold of 5% on September 22, 2015 and amounted to
5.01% (equivalent to 27,327,089 voting rights out of a total of 544,941,058
voting rights) as per this date.
