On October 13, 2015, BlackRock Holdco 2, Inc., with its registered office
in Wilmington, DE, U.S.A. has notified us pursuant to section 21 para. 1
WpHG that their percentage of total voting rights in Fresenius SE & Co.
KGaA, Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, fell below
the threshold of 5% on October 9, 2015 and amounted to 4.98% (equivalent to
27,119,342 voting rights out of a total of 544,999,890 voting rights) as
per this date.

2.16% of voting rights (equivalent to 11,758,809 voting rights) are
attributable to BlackRock Holdco 2, Inc., pursuant to section 22 para. 1
sent. 1 no. 1 WpHG.

3.12% of voting rights (equivalent to 17,007,346 voting rights) are
attributable to BlackRock Holdco 2, Inc., pursuant to section 22 para. 1
sent. 1 no. 6 WpHG in connection with section 22 para. 1 sent. 2 WpHG.

Please note that the total amount stated above does not necessarily equal
the sum of the detailed attributed holdings. This results from voting
rights having multiple attributions within the BlackRock group structure.

registered office in Wilmington, DE, U.S.A. has notified us pursuant to
section 21 para. 1 WpHG that their percentage of total voting rights in
Fresenius SE & Co. KGaA, Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H.,
Germany, fell below the threshold of 5% on October 9, 2015 and amounted to
4.98% (equivalent to 27,119,342 voting rights out of a total of 544,999,890
voting rights) as per this date.

2.16% of voting rights (equivalent to 11,758,809 voting rights) are
attributable to BlackRock Financial Management, Inc., pursuant to section
22 para. 1 sent. 1 no. 1 WpHG.

0.03% of voting rights (equivalent to 187,701 voting rights) are
attributable to BlackRock Financial Management, Inc., pursuant to section
22 para. 1 sent. 1 no. 6 WpHG.
