Share Buyback Program 2015: Software AG Completes Share Buyback
Public Disclosure pursuant to Article 4 sec. 4 of Regulation (EC) No.
2273/2003 - Final Report

Darmstadt, December 07, 2015 - The share buyback program, which the
Management Board of Software AG resolved on September 03, 2015 and
commenced on September 08, 2015 on the basis of the authorization granted
by the Annual General Meeting on May 13, 2015 to repurchase Software AG
shares, has been completed. The maximum volume for this buyback program,
which was decided by the Management Board, has been reached.

Within this share buyback program, a total of 2,712,513 shares were
purchased for a total amount of EUR 69,999,987.85 (excluding ancillary
costs) between September 08, 2015 and December 04, 2015. This corresponds
to an average purchase price of EUR 25.81 per share.

The now completed buyback program was announced on September 07, 2015
pursuant to article 4 section 2 of the Regulation (EC) 2273/2003.

The acquisition was effectuated by Commerzbank AG, Frankfurt am Main,
exclusively through the Xetra-trading system of Frankfurt Stock Exchange.

As of December 04, 2015 Software AG owns an aggregate number of 2,768,369
of own shares, corresponding to 3.5 percent of the share capital of
Software AG.
