Schedule 13D

This Amendment No. 1 to Schedule 13D amends the Schedule 13D (“Schedule 13D”) filed by the Family Trusts (as defined therein) dated September 20, 2012, and is being filed pursuant to Rule 13d-2 of the General Rules and Regulations under the Securities Exchange Act of 1934, as amended (the “Act”). Unless otherwise indicated, all capitalized terms used, but not defined herein, have the meanings ascribed to such terms in the Schedule 13D.

Item 1. Security and Issuer.

This Amendment No. 1 to Schedule 13D relates to common stock, without par value (the "Shares"), of 1st Source Corporation, an Indiana corporation (the "Issuer" or the “Company”). The address of the principal executive offices of the Issuer are located at 100 North Michigan Street, South Bend, Indiana 46601.

Item 2. Identity and Background.

This statement is filed by 1st Source Bank, as trustee of the trusts set forth below (collectively, the “Reporting Persons”). These trusts are referred to herein as the “Family Trusts”. The business address of each Reporting Person is 100 North Michigan Street, South Bend, Indiana 46601. 1st Source Bank is a subsidiary of the Issuer.

Item 3. Source and Amount of Funds or Other Consideration.

Item 4. Purpose of Transaction.

Item 4 is amended by adding the following supplemental information:

1st Source Bank, as the trustee of the Family Trusts, in 2012 had petitioned the St. Joseph County, Indiana, Probate Court requesting, among other things, approval of division of certain of the Family Trusts into four separate family trust lines. The Court approved modifications in 2015 as a result of which the Bank as Trustee holds voting power and shared power of disposition over shares in the affected Family Trusts. The respective trusts allow a designated family representative of a respective family line of trust beneficiaries, as applicable, to direct the trustee to (or appoint a special trustee to) diversify the 1st Source Corporation common stock holdings in the Family Trusts. The family designated representatives may also (i) direct the trustee to engage an independent proxy service to provide voting recommendations to the trustee, in which case the trustee has agreed to vote the 1st Source Corporation common stock held by the applicable trusts in accordance with the recommendations of such independent proxy service, unless to do so would be contrary to applicable Securities and Exchange Commission (“SEC”) legal and regulatory guidelines and requirements or violate the trustee’s fiduciary obligations, or, (ii) appoint a special trustee, which special trustee would have the power to vote the 1st Source Corporation common stock held by the applicable Family Trusts. The Family Trusts subject to direction by beneficiary representatives have directed the Trustee to effect incremental sales of 1 st Source shares held in the trusts from time to time.

Item 5. Interest in Securities of the Issuer.

Parts (a) and (b) of Item 5 are restated as follows:

(a)-(b) 1st Source Bank, as trustee of each Family Trust, is stockholder of record of the shares of common stock of the Company listed on the cover pages for the Family Trusts. A total of 5,304,507 shares of common stock of the Company are held in the aggregate by the Family Trusts, representing 20.5% of the outstanding Shares (based upon 25,936,130 outstanding shares of the issuer as of September 30, 2017, as reported in the issuer's investor presentation filed with the issuer's Form 8-K filed October 31, 2017). The Family Trusts may be deemed to be a “group” as such term is defined under Rule 13d-5(b)(1) under the Securities Exchange Act of 1934, as amended. Each Reporting Person disclaims beneficial ownership of, and has excluded from the aggregate number of shares shown as beneficially owned by it, shares deemed to be beneficially owned by the group solely as a result of Rule 13d-5(b)(1). The family designated representatives holding shared dispositive power with respect to the shares in the Family Trusts allocated to such representative’s respective family lines are shown in the table below. Each of such persons is a U.S. citizen.
