11. Additional Information

As previously disclosed in an announcement made by Darktrace PLC dated 27 December 2023 (RNS Number: 9714X), Summit DT Equity Holdings 3 LP ("Summit DT 3") entered into a swap transaction in November 2023 to reduce its long position, subject to certain conditions. On 23 February 2024, the final settlement date, Summit DT 3 completed the transaction and, as a result, the Total Voting Rights attached to the ordinary shares held by Summit DT 3 and Summit DT CLN Holdings 4 has decreased. Subject to certain exceptions or obtaining prior consent from the swap counterparty, Summit Partners has voluntarily agreed that it will not make additional sales of shares in Darktrace PLC for a period of 180 days from 23 February 2024.
