Issue and allotment of Shares and Total Voting Rights

Darktrace announces the issue and allotment of shares pursuant to vesting of certain awards. Darktrace has issued and allotted an aggregate of 815 new ordinary shares of £0.01 each in Darktrace (the "New Shares"). An application has been made for the New Shares to be admitted to the Premium Listing Segment of the Official List of the Financial Conduct Authority and to trading on the Main Market of the London Stock Exchange.

The New Shares will rank pari passu in all respects with Darktrace's existing ordinary shares of £0.01 nominal value each ("Ordinary Shares"). It is expected that admission will become effective on 4 January 2024.

As a result of the 815 New Shares issued, the total number of Ordinary Shares outstanding as at 4 January 2024 will be 703,668,731. Each Ordinary Share carries the right to one vote. Darktrace has 3,405,136 Ordinary Shares as treasury shares with no voting rights. Therefore as at the close of business on 4 January 2024 the total voting rights figure of 700,263,595 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Darktrace under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules
