Important events to be reported:

Signing of the agreement to sell Fondul Proprietatea's shareholding in Engie Romania S.A.

Further to the current report published on 11 December 2023, Franklin Templeton International Services S.À R.L., in its capacity as alternative investment fund manager and sole director ("AIFM / Fund Manager") of Fondul Proprietatea S.A. (the "Fund"), would like to inform the shareholders that the Fund, as seller, and GDF International S.A., as purchaser, entered on 22 December 2023 into an agreement for the sale of the entire shareholding in Engie Romania S.A. (the "Company") in exchange for a total consideration of RON 432,616,167.75.

The completion of the sale under the agreement is subject to Fondul shareholders' approval.
