adesso AG pursues complete takeover of an IT consulting and development
company in the field of SAP customer engagement, business analytics and
HANA

adesso is pursuing the takeover of a rapidly growing company in the greater
Frankfurt am Main area. This company is already operating at a national
level. adesso is making this move in order to expand the adesso Group's
existing e-commerce activities, particularly those that employ modern
technologies focused on SAP Hybris. Plans call for the company's swift and
complete integration into the adesso Group. The sellers will continue to
develop the joint business in roles of responsibility.

The company generated EBIT of approximately EUR 1 million and an EBIT
margin of more than 20 % in the past financial year. The valuation of the
debt-free company results in an EBIT multiplier below 6; other variable
purchase price components have not been agreed. The purchase price will be
financed with existing liquid funds, especially from the capital increase
in December 2016.

The relevant resolutions, final negotiations and the signing of the
purchase agreement all still have to occur before the transaction goes
through.
