Transactions in own shares

Deliveroo announces that it has purchased 641,190 Class A ordinary shares of £0.005 each in the Company ("A Shares"), through Goldman Sachs International ("GSI") on the London Stock Exchange, BXE and CXE order books, and/or Turquoise (the "Purchase").

The Purchase was effected pursuant to Deliveroo's share purchase programme, details of which were announced on 31 October 2023.

Lowest price paid:	1.4690
Volume weighted average price paid per share:	1.4773

The purchased shares will be cancelled or held in treasury and used to meet obligations arising from employee share plans or other allocations of A Shares to employees or directors.

A full breakdown of the individual purchases by GSI (acting as principal) is included below, which were subsequently repurchased from GSI by the Company.

Following the above transaction, the Company's issued share capital is 1,566,505,890 A Shares (including 43,804,039 A Shares held in treasury), and 102,508,168 Class B ordinary shares of £0.005 ("B Shares").

The total number of voting rights attributable to the A Shares is therefore 1,522,701,851 (excluding 43,804,039 A Shares held in treasury) and may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the A Shares under the FCA's Disclosure Guidance and Transparency Rules.
