Software AG completes Share Buy-back

Darmstadt, May 12, 2017

The share buyback program, which the Executive Board of Software AG
resolved on March 6, 2017 and commenced on March 13, 2017 on the basis of
the authorization granted by the Annual General Meeting on May 31, 2016 to
repurchase Software AG shares, has been completed with the end of trading
on Xetra on May 11, 2017.

The now completed share buyback program was announced on March 10, 2017
pursuant to Art. 5 (1) lit. a) Regulation (EU) 596/2014 and Art. 2 (1)
Delegated Regulation (EU) 2016/1052. With disclosure of May 11, 2017 (7:55
a.m.) the early termination of the share buyback program has been announced
pursuant to second sentence of Article 2 (1) Delegated Regulation (EU)
2016/1052.

In the period from May 08, 2017 to, and including, May 11, 2017, Software
AG has purchased a total number of 280,589 shares within the framework of
the share buy-back program.

In total, within the share buyback program, a number of 2,326,892 shares
were purchased for a total amount of EUR 89,559,770.04 (excluding ancillary
costs) (corresponding to 3.046 % of the share capital) between March 13,
2017 and May 11, 2017. This corresponds to an average purchase price of EUR
38.49 per share.

As of May 11, 2017 the number of own shares of Software AG amounts to
2,495,261, corresponding to 3.266 % of the share capital of Software AG.
