RW Holding AG (in liquidation) originally directly held 8,421 RWE AG shares which have been disposed of on 1 June 2017. RW Holding AG (in liquidation) was a shareholder of RWEB GmbH and due to the shareholding contributed 29,252,475 additional RWE AG shares into RWEB GmbH. According to the articles of association of RWEB GmbH, RWE AG shares contributed to the company had to be retransferred to RW Holding AG (in liquidation) in case of RW Holding AG (in Liquidation) withdrawing as a shareholder of RWEB GmbH. RW Holding AG in liquidation withdrew as a shareholder of RWEB GmbH and, therefore, RWEB GmbH transferred 29,252,475 RWE AG common shares to RW Holding AG (in liquidation) on 22 June 2017.
