10. Other explanatory remarks:

Originally, RWEB GmbH & Co. KG, KEB Holding AG and RW Holding AG were shareholders of RWEB GmbH, which held 81,638,660 common shares in RWE AG. Due to the termination of a securities lending, the number of common shares held reduced by 3,980,857 to 77,657,803. Due to their shareholding in RWEB GmbH , KEB Holding AG (32,852,693) and RW Holding AG (29,252,475) contributed common shares into RWEB GmbH, which had to be retransferred in case of a withdrawal as a shareholder in RWEB GmbH. KEB Holding AG and RW Holding AG withdrew as a shareholder from RWEB GmbH and, therefore, RWEB GmbH transferred the contributed RWE AG common shares to KEB Holding AG and RW Holding AG on 22 June 2017. As a result, the RWE AG common shares been held by RWEB GmbH reduced from 77,657,803 by 32,852,693 and 29,252,475 to 15,552,635. After the withdrawal of KEB Holding AG and RW Holding AG as shareholders, RWEB GmbH & Co. KG is the sole shareholder and owner of all voting rights in RWEB GmbH.
