Exercise of option under the Headlam 2017 Deferred Bonus Plan

Headlam Group plc (LSE: HEAD), Europe's leading floorcoverings distributor, announces that on 31 July 2023, Chris Payne exercised his 2020 nil-cost option to acquire 26,447 ordinary shares of 5 pence each in the capital of the Company ('Shares') under the Company's 2017 Deferred Bonus Plan. The number of Shares received on exercise of the option reflects the inclusion of dividend equivalents in Shares, calculated on a reinvestment basis.

Chris Payne has paid the income tax and National Insurance contributions from personal funds and has therefore retained the full balance of Shares.

The exercise of the nil-cost option by Mr Payne has been satisfied through the transfer of existing Shares held by the trustee of the Headlam Employees' Share Trust ('EST') and, as such, no new Shares have been issued in connection with the option exercise.

Therefore, the total number of Shares with voting rights in the Company following admission will remain 80,768,367. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
