Scrip dividend share allotment and Total Voting Rights

Application has been made to the Financial Conduct Authority and the London Stock Exchange Plc for a total of 959,446 Ordinary Shares of 1p each ('Shares') to be admitted to the Official List.

Admission of the Shares is expected on 2 August 2023.

The Shares are being issued in respect of elections to participate in the Scrip Dividend Scheme in respect of the final dividend for the year ending 31 March 2023.

The Shares will rank pari passu with the existing Ordinary Shares.

Following this issue, the Company's issued share capital will consist of 312,867,711 ordinary shares of one penny each with voting rights, of which 1,466,713 ordinary shares are held in the Employee Benefit Trust.

Accordingly, the total number of voting rights in the Company is 311,400,998.

The above figure of 311,400,998 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change of their interest in, the Company under the Disclosure and Transparency Rules of the FCA.
