Change of Auditor

Pod Point announces that the Board has approved the appointment of KMPG LLP ('KPMG') as the Company's new external auditor following the conclusion of a competitive tender process led by the Company's Audit & Risk Committee.  KPMG will conduct the audit of the Company's financial statements for the financial year ending  31 December 2023 and a proposal to re-appoint KPMG as auditors of the Company will be subject to the approval of shareholders at the next Annual General Meeting in 2024.

As stated in the 2022 Annual Report, Deloitte LLP ("Deloitte") did not take part in the tender process and has consequently resigned as auditor. Deloitte has set out the reason for its resignation in a statement to the Company.

A copy of Deloitte's statement in connection with their resignation will be sent to shareholders for information only, as required by Section 520(2) of the Companies Act 2006 and is available to view on the National Storage Mechanism at  National Storage Mechanism | FCA.

The Board wishes to take this opportunity to extend its appreciation and gratitude to Deloitte for its services to the Company.
