RESULTS OF GENERAL MEETING

Domino's Pizza Group plc (the 'Company') announces that at its General Meeting ('GM') held today, 30 June 2023, the following resolutions were approved by the Company's shareholders, voting on a poll:

At the date of the meeting, the Company had 416,664,377 shares in issue which confer voting rights. This includes 200,000 shares pending settlement as part of the £20m share buyback programme, announced on 4 May 2023. The highest number of votes cast on any resolution (excluding votes withheld) was 320,842,464, which represents approximately 77% of total voting rights held by shareholders.

Prior to the GM, the Remuneration Committee engaged in an extensive consultation process with the Company's major shareholders regarding its proposals. The Board considers that the amendments to the Remuneration Policy and Long-term Incentive Plan were necessary to attract and retain a proven world-class talent as permanent Chief Executive Officer who the Board believes can, together with the senior management team, drive a significant increase in shareholder value. A significant majority of shareholders supported the Board's approach and have approved the necessary resolutions.  However, approximately 23% of shareholders voting against the resolutions. The Remuneration Committee will continue to engage with shareholders to ensure that it understands their views and is able to consider shareholders' feedback.

In accordance with the UK Corporate Governance Code, the Board will publish an update on this engagement within six months of the GM.

In accordance with Listing Rules 9.6.2 R, 9.6.3(1) R and 9.6.18 R, copies of the resolutions passed by the Company have been submitted to the National Storage Mechanism and are available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
