ANNUAL GENERAL MEETING 2023 - VOTING RESULTS

At the Annual General Meeting of JD Sports Fashion Plc (the "Company") held on 27 June 2023 at the offices of Addleshaw Goddard LLP, One St. Peter's Square, Manchester, M2 3DE, all resolutions as set out in the Notice of Annual General Meeting were duly passed on a poll by the requisite majorities. A clerical amendment to Resolution 20 was also duly passed on a show of hands, amending the reference to 'paragraph 19(a)' in paragraph (b) of Resolution 20 (Disapplication of pre-emption rights), as stated in the Notice of Annual General Meeting dated 23 May 2023, to 'paragraph 20(a)'.

In accordance with the Listing Rule 9.6.2, a copy of all resolutions passed at the meeting (not relating to ordinary business) has been submitted to the National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

While all resolutions were passed, the Company notes that a significant number of votes were cast by independent shareholders against resolution 10 relating to the re-election of Mahbobeh Sabetnia as a director of the Company. The Board takes seriously its responsibilities to represent the interests of shareholders and to uphold the highest standards of corporate governance and it will engage with shareholders over the coming months to understand any ongoing concerns around Mahbobeh Sabetnia's re-election. In line with the provisions of the UK Corporate Governance Code (July 2018), the Company will provide an update on the views received from shareholders and actions taken in response within the next six months.
