Subject: Notice on the signing of the Merger Agreements of affiliated companies Ekobit d.o.o. and Bonsai d.o.o. to the company Span d.d.

On the basis of Articles 517 and 531 of the Companies Act, we hereby submit a Notice on the signing of the Merger Agreements of affiliated companies Ekobit d.o.o. and Bonsai d.o.o. to the company Span d.d. Merger Agreements were signed on May 14, 2024 between the company Span d.d. for information systems, with its headquarters in Zagreb, Koturaška cesta 47, registered at the court register of the Commercial Court in Zagreb under the number (MBS): 080192242, PIN: 19680551758 and companies:

• EKOBIT d.o.o. for the development of software packages, trade and representation, with headquarters in Zagreb, Radnička cesta 80, registered with the court register of the Commercial Court in Zagreb under the number (MBS): 080144042, PIN: 69609657776 and
• BONSAI d.o.o. for the design and implementation of intelligent information systems, with headquarters in Zagreb, Koturaška cesta 47, registered with the court register of the Commercial Court in Zagreb under the number (MBS): 081100130, PIN: 81255473305

The purpose of the integration of Bonsai and Ekobit into Span is the unification of Span's offer of software and AI solutions development. The goal is to achieve a unique presence on the market, within the same company and unique Span brand.

Merger agreements signed on May 14, 2024, between the company Span d.d. and Ekobit d.o.o., and between Span d.d. and Bonsai d.o.o. were submitted on May 15, 2024 to the court registry of the Commercial Court in Zagreb in accordance with the provisions of Article 517 of the Companies Act.

Given that Span d.d. is a sole member of Bonsai d.o.o. and Ekobit d.o.o. in this merger procedure, the provisions of Article 531 of the Companies Act on mergers in special cases are applied, and the approval of the General Assembly of Span d.d as the acquiring company is not required for the merger.

On the day of entry of the merger in the court register in which the acquiring company is registered, the merged companies will cease to exist. The acquiring company will become the general legal successor of the merged companies and will thereby enter into all legal relations of the merged company.

Shareholders of Span d.d. whose shares together reach at least one twentieth of the share capital, have the right to demand that the General Assembly be convened.
