Subject: Notice on the acquisition of the shares of the affiliated company Bonsai d.o.o. and the intended merger of the affiliated companies Bonsai d.o.o. and Ekobit d.o.o. into Span d.d.

- Regulated information-

Span d.d. (hereinafter: Company or Span) has signed a purchase and sale agreement about the acquisition of 30% of business shares in the company Bonsai d.o.o. (hereinafter: Bonsai). The value of the transaction amounts to EUR 750.000,00. By acquiring the remaining 30% of business shares in the affiliated company Bonsai d.o.o., Span has acquired 100% ownership and announced its intention to merge this company with Span. At the same time, it has announced its intention to merge with the affiliated company Ekobit d.o.o. (hereinafter: Ekobit), which has been in 100% ownership of the Company ever since its acquisition in 2022.

The purpose of the integration of Bonsai and Ekobit into Span is the unification of Span's offer of software and AI solutions development. The goal is to achieve a unique presence on the market, within the same company and unique Span brand. Together with cloud and cybersecurity, AI is becoming one of Span's key strategic directions in the upcoming period.

AI solutions have started to be increasingly implemented in organizations, and the availability of generative artificial intelligence has further accelerated this process. The ways solutions based on AI can enhance business operation and advance business processes are becoming more considered in the business environment.

"AI is no longer something that is merely discussed, AI is making an entrance into business operation. This merger will further strengthen Span's AI offer within the key segments of our operation, and I expect that the development of this part will generate significant profit in the years to come," says Nikola Dujmović, the President of the Management Board of Span.

The targeted date for the merger to take effect is by the end of the second quarter of 2024, after which the affiliated companies Bonsai and Ekobit will operate within the unique Span brand.

Span will announce the signing of the Merger Agreement between Bonsai d.o.o. and Span d.d., and Ekobit d.o.o. and Span d.d. without delay, in accordance with the applicable provisions of the Companies Act.
