Important events to be reported: Sale of Fondul Proprietatea's minority shareholding in E-Distributie Muntenia S.A., Enel Energie Muntenia S.A., E-Distributie Dobrogea S.A., E-Distributie Banat S.A., and ENEL Energie S.A. Franklin Templeton International Services S.À R.L., in its capacity as alternative investment fund manager and sole director ("AIFM / Fund Manager") of Fondul Proprietatea S.A. (the "Fund"), would like to inform the shareholders that the Fund, as seller, and the Greek company Public Power Corporation S.A. ("PPC"), as purchaser, have concluded on 19 April 2023 an agreement for the sale of all the equity stakes held by the Fund in E-Distributie Muntenia S.A., Enel Energie Muntenia S.A., E-Distributie Dobrogea S.A., E-Distributie Banat S.A., and ENEL Energie S.A. (the "SPA"), in exchange for a total consideration of RON 650,000,000. The SPA is concluded following the entry by Enel S.p.A. and PPC into an agreement for the sale of all the equity stakes held by the Enel Group in Romania (https://www.enel.com/media/explore/search-press-releases/press/2023/03/enel-signs-agreement-to-sell-its-romanian-operations-to-ppc). The completion of the sale under the SPA is subject, among others, to the closing of the transaction between Enel and PPC. Further announcements will be made as and when relevant.
