Director Equity Awards

Gresham Technologies plc (LSE: "GHT", "Gresham", "Group", "Company"), the leading software and services company that specialises in providing solutions for data integrity and control, banking integration, payments and cash management, announces the following equity awards to the executive directors of the Company, pursuant to the Company's annual bonus scheme and long-term share incentive plan.

* Maximum potential award. Actual values will be based on performance targets over the following three financial years. 

The acquisition of the Bonus Shares has been funded through a proportion of the executive directors' respective bonus entitlement in respect of the financial year ended 31 December 2022 and are beneficially held through the Company's global nominee service. The corresponding Share Matching Award entitles the executive directors to receive further ordinary shares ("Ordinary Shares"), up to the maximum stated above, subject to (a) the executive director's corresponding Bonus Shares being retained for three years; (b) the achievement of certain performance targets over the following three financial years; and (c) the executive director remaining with the business at the end of the retention period.

Following the acquisition of the Bonus Shares, Ian Manocha is directly and beneficially interested in a total of 161,640 Ordinary Shares of the Company, equivalent to 0.19% of the Company's issued share capital and Tom Mullan is directly and beneficially interested in a total of 63,669 ordinary shares of the Company, equivalent to 0.08% of the Company's issued share capital.
