Further to the announcement on 25 November 2022, in relation to the execution of irrevocable instructions by five of its PDMRs, Ocado Group plc (the "Company") makes the following announcement regarding their participation in The Ocado Sharesave Scheme ("Sharesave").

The Sharesave is a tax advantaged share scheme offered to all eligible employees of the Company on the same terms. It offers the opportunity for employees to buy ordinary shares of 2 pence each ("Shares") in the Company using savings accumulated over a three year period. The maximum amount permitted by HMRC to be invested in all Sharesave schemes is £6,000 per annum.

Per the irrevocable instructions, and the satisfaction of certain conditions where applicable, the PDMRs have each elected to participate in the 2023 offer of Sharesave.  Each has been granted 4,043 options over Shares. The options were granted at a price of 445.13 pence per share. The notification form for each PDMR can be found below.

In addition, four PDMRs elected to cancel their participation in the 2022 offer of Sharesave, resulting in the lapse of options originally granted to them on 17 March 2022 with an exercise price of 1,199.97 pence per share. The options would have become exercisable on 1 May 2025. Each had 1,500 options lapse. The notification form for each PDMR can be found below.
