Issue of Consideration Shares and Total Voting Rights

Further to its announcement on 6 December 2022 regarding the completion of the transaction with Whitelaw Twining Law Corporation and TWK Management Limited, DWF confirms that it has made an application for the admission of 121,956 new Ordinary Shares in the capital of the Company (the "Additional Consideration Shares") to the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities ("Admission"). The Additional Consideration Shares will rank pari passu with the Company's existing ordinary shares and Admission is expected to occur at 8.00am on 31 March 2023.

Total Voting Rights

Following Admission, the Company's issued share capital will comprise of 341,979,578 Ordinary Shares of 1p each. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company will be 341,979,578.

Following Admission, the figure of 341,979,578 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
