Rentokil Initial plc (the "Company") hereby announces that Andy Ransom, Chief Executive, has exercised his awards of 971,802 ordinary shares granted under the Company Performance Share Plan (PSP) in April and October 2013. 

The awards, which vested in April and October 2016, would both lapse this year if they remained unexercised.  457,308 of these shares have been sold to cover the tax and national insurance liability on the awards at a share price of 559.8605p per share. 

The relevant notification set out below is provided in accordance with the requirements of Article 19 of the UK Market Abuse Regulation.
