- Notification on the launch of the future visual identity and logo of Nova hrvatska banka

Hrvatska poštanska banka p.l.c., with a registered seat in Zagreb, Jurišićeva 4 (hereinafter: HPB) hereby informs that the visual identity and logo of future Nova hrvatska banka, which reflect a new beginning and reinforce the connection with HPB Group will be launched on 22 March 2022 in the media.

We take this opportunity to remind that the Single Resolution Board, the central resolution authority within the Banking Union, in cooperation with the Croatian National Bank (CNB) as the national resolution authority, has adopted the decision initiating the resolution proceedings of Sberbank p.l.c. Zagreb in order to ensure financial stability in the Republic of Croatia.

The resolution was carried out through the sale-of-business and HPB has become the new owner of Sberbank p.l.c., that is, all 615,623 shares representing 100 percent of the share capital of Sberbank p.l.c. have been transferred to HPB and Sberbank p.l.c. was renamed Sberbank p.l.c. - in resolution.

Immediately following the takeover of the 100 percent share, HPB launched a rebranding process and announced the bank's future name - Nova hrvatska banka.

The new name and visual identity of future Nova hrvatska banka will be in use until the completion of the integration into HPB, a process which is estimated to take approximately one year, but given that preparations for the introduction of euro as the official currency are currently underway at both banks, and taking into account the complexity of the process, the expected merger of the acquired future legal entity Nova hrvatska banka p.l.c. is planned in the period after the official adoption of euro.

The General Assembly is expected to be held within a month, after which Sberbank p.l.c. - in resolution is to formally change its legal name to Nova hrvatska banka p.l.c. and will continue to operate as a separate legal entity within HPB Group.
