Notice of Requisitioned General Meeting

MetalNRG plc (LON:MNRG), the natural resources and energy investment company, announces that, further to the announcement on 2 December 2022 that the Company had received a notice requiring it to convene a General Meeting, a Circular to shareholders and a Notice convening the Requisitioned General Meeting and setting out proposed resolutions is being published today.  The Circular contains a recommendation from the Board to shareholders that they vote against the proposed resolutions.

The Requisitioned General Meeting ("GM") will be held at the offices of Orrick, Herrington & Sutcliffe (UK) LLP, 107 Cheapside, London EC2V 6DN on Wednesday, 11 January 2023 at 12.00 midday.

The Circular and Notice of GM, together with a Proxy Form, will be posted to shareholders today and will also be available on the Company's website: www.metalnrg.com.  Full details of the operation and arrangements for the GM are set out in the Notice of GM.

All voting on the resolutions at the GM will be conducted on a poll which means that shareholders should submit their Proxy Forms by email to info@metalnrg.com or by post to the Company Secretary, City Group PLC, as soon as possible.

We ask that all questions which shareholders wish to raise at the GM be submitted to info@metalnrg.com in advance.

Pursuant to Disclosure Guidance and Transparency Rules, a copy of the Circular and Notice of GM will be submitted and available shortly for inspection at:
