Notification of Transactions by Persons Discharging Managerial Responsibilities ("PDMRs") and Persons Closely Associated with them

This notification relates to transactions notified in accordance with Article 19 of the UK Market Abuse Regulation.

On 2 December 2022, the PDMRs noted below, who are members of the Executive Leadership Team of Sage, were granted awards over ordinary shares of 14/77 pence each in Sage under each of

·    The Sage Group plc 2015 Performance Share Plan ("PSP");

·    The Sage 2016 Deferred Share Bonus Plan ("DSBP"); and

·    The Sage Group plc 2019 Restricted Share Plan ("RSP 2019"), together the ("Awards").

No price is payable by the PDMRs on either the grant or vesting of the Awards.

The Awards will vest on 2 December 2025, subject, as applicable, to continued employment, performance conditions (applicable for PSP only) and satisfaction of a financial underpin requirement (applicable for RSP only) unless indicated otherwise below.

* The PSP awards of Steve Hare and Jonathan Howell are subject to a two-year holding period after the vesting date with Steve Hare and Jonathan Howell becoming entitled to the vested shares following their release at the end of such holding period, scheduled to be 2 December 2027.

** The RSP award for Cath Keers is not subject to the satisfaction of a financial underpin requirement and will vest on 30 September 2024.

The Awards are subject to malus (withholding) and recovery (clawback).
