Retirement of Director and Changes to Board Composition

Baillie Gifford Shin Nippon PLC ('the Company') hereby gives notification that Mr Neil Donaldson, a non-executive Director of the Company and Chairman of the Board of Directors will retire from the Board at the conclusion of the 2023 Annual General Meeting and not seek re-election, having served on the Board for nine years.

Mr Jamie Skinner, a non-executive Director of the Company will be appointed as the Chairman of the Board of Directors. Mr Kevin Troup, a non-executive Director of the Company will be appointed as the Chairman of the Audit Committee. These changes will take effect from the conclusion of the 2023 Annual General Meeting, following the retirement of Mr Neil Donaldson.

Ms Abigail Rotheroe, a non-executive Director of the Company, will be appointed as the Chairman of the Nomination Committee. This change will be effective from 1 February 2023.
