• Notice successful ending of the merging process of HPB-Stambena štedionice d.d.

Following the October 02, 2019 notice on the signed Agreement on the merger between Hrvatska poštanska banka p.l.c., the Acquiring Company, and HPB-Stambena štedionica d.d., the Acquired Company, on September 30, 2019, we inform the investment community that Commercial court in Zagreb issued the Decision on December 02, 2019, by which the Merger of HPB-Stambena štedionica d.d. to Hrvatska poštanska banka p.l.c. was enrolled in Court register. All assets and liabilities of HPB-Stambena štedionica d.d. are transferred to the balance sheet of Hrvatska poštanska banka p.l.c.

Hrvatska poštanska banka p.l.c. hereby reports the transaction has ended and the process of merging of HPB-Stambena štedionica d.d. is closed as of December 02, 2019, by enrolment into the Court Registry of the Commercial Court in Zagreb.

The creditors of the companies participating in the merger will be provided with an insurance in accordance with Article 523 of the Companies Act, should they apply for that purpose within six months of the publication of the registration of the merger into the court register, where the company whose creditors they are, is registered, who may not apply to receive their claims. The creditors of Hrvatska poštanska banka p.l.c., have this right only if they can prove that the settlement of their claims is jeopardized by the merger of the companies.
