Market purchase by the Company of its own shares

Notification is given that, pursuant to the authority granted at the Annual General Meeting of the Company held on 16 September 2021 to make market purchases of the Company's own shares of 1p, a market purchase of 33,764 ordinary shares in the capital of the Company was made today at a price of 64.88p per share to be held in treasury.

Following the above purchase, the Company's issued ordinary share capital will be 187,434,303 ordinary shares of 1p each of which 4,224,576 shares are held in treasury and have no voting rights. Therefore, the total number of voting rights in the Company is 183,209,727.                       

The above figure (183,209,727) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Diversified Income Trust plc under the FCA's Disclosure Guidance and Transparency Rules.
