Notification pursuant to Sec. 43 para. 1 German Securities Trading Act (WpHG)
We refer to the substantial shareholder report pursuant to Sec. 33 para. 1 WpHG of Generali CEE Holding B.V. dated 26 April 2019, which is part of the group notification of Assicurazioni Generali S.p.A. pursuant to Sec. 37 WpHG, According to this notification, the voting share of Generali CEE Holding B.V. in OVB Holding AG has exceeded the 10%-threshold as of 23 April 2019 and amounted to 11.48% (14,251,314 voting rights) on this day. In addition, we hereby inform you pursuant to Sec. 43 para. 1 WpHG with regard to the objectives pursued with the acquisition of the voting rights and the origin of the funds used in the acquisition as follows:
1. The Investment serves the implementation of strategic goals.
2. Depending on market developments and further economic circumstances, Generali CEE Holding B.V. may acquire further voting rights within the next twelve months by purchase or otherwise.
3. Generali CEE Holding B.V. is considering to propose one candidate for the supervisory board of OVB Holding AG. Apart from that, Generali CEE Holding B.V. currently does not intend to exercise influence on the composition of the administrative, management and supervisory bodies of OVB Holding AG.
4. Generali CEE Holding B.V. currently does not intend to achieve a material change in the capital structure of OVB Holding AG, in particular regarding the ratio of equity and debt financing and the dividend policy.
5. The acquisition of the voting rights was financed by own funds.
